Welcome to Wazper ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of Wazper, located at www.wazper.com (the "Service"). By creating an account, subscribing, or otherwise using our Service, you agree to be bound by these Terms. If you do not agree, you should not use the Service.

1. OVERVIEW

1.1 Description of Service Wazper is a virality enablement platform designed to help SaaS businesses invite identified team members of new users to their websites automatically.

1.2 Eligibility You represent that you are legally capable of entering into a binding contract and have the authority to do so on behalf of any entity you represent.

1.3 Acceptance of Terms Your use of the Service constitutes your acceptance of these Terms, our Privacy Policy, and any other policies or guidelines referenced herein.

2. ACCOUNTS AND ACCESS

2.1 Account Creation

  • An account is required to access our Service. User authentication, including different user roles, is managed by our provider, Clerk.com.
  • You must provide accurate and complete information during registration and keep this information up to date.

2.2 Account Security

  • You are responsible for safeguarding your login credentials.
  • You will promptly notify us if you suspect unauthorized access to your account.

2.3 No Free Trial

  • We do not offer free trials.

3. FEES, PAYMENTS, AND REFUNDS

3.1 Subscription and Credits

  • You must purchase a mandatory annual subscription at the rate of $199 per month (billed annually) to use the Service.
  • You may also buy additional credit packs, with pricing disclosed upon request.
  • We reserve the right to modify pricing for both subscriptions and one-time credit purchases at any time.

3.2 Payment Method

  • We use Stripe to process payments, and you agree to abide by Stripe's terms.

3.3 Refunds

  • No Refund Policy: All payments made, whether for subscription or credits, are final. Once paid, amounts are non-refundable under any circumstance.

3.4 Credit Validity

  • Purchased credits remain valid for one (1) year from purchase. After one (1) year, any unused credits will expire.

3.5 Cancellation

  • You may cancel your subscription at any time. However, any initial credits associated with your subscription will be forfeited.
  • Cancellation does not entitle you to any refund.

4. USER OBLIGATIONS AND ACCEPTABLE USE

4.1 Compliance with Laws

  • You agree to comply with all applicable local, state, national, and international laws and regulations.

4.2 Prohibited Conduct

  • You will not use the Service for unlawful, harmful, or fraudulent purposes.
  • You will not engage in any activity that disrupts the Service or infringes upon the rights of others.

4.3 Data Ownership

  • For information about how we collect, handle, and retain personal data, please refer to our Privacy Policy.
  • You may only upload or process data that you have lawful rights to.

4.4 Competitors

  • Competitors may use the Service unless expressly restricted by a separate agreement.

5. INTELLECTUAL PROPERTY

  • All rights, title, and interest in and to the Service, including any software, graphics, text, or content, remain the exclusive property of Wazper.

5.2 License Grant

  • Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service.

5.3 Trademarks

  • The Wazper name and logo are trademarks owned by us. You may not use our trademarks without our prior written consent.

6. PRIVACY AND DATA HANDLING

6.1 Data Collection

  • We collect personal information, such as names, emails, and payment details, through our provider.
  • We do not share personal data with third parties, except as necessary for payment processing or as required by law.

6.2 Compliance

  • We comply with GDPR, CCPA, and other applicable data protection regulations.

7. SERVICE AVAILABILITY AND DISCLAIMER OF WARRANTIES

7.1 Service Response Time

  • We strive to respond to requests within seventy-two (72) hours.

7.2 No Guarantee of Uptime

  • We do not guarantee uninterrupted or error-free operation of the Service. We may experience downtime, disruptions, or other issues.

7.3 Disclaimer of Warranties

  • THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY

8.1 Exclusion of Damages

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WAZPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

8.2 Maximum Liability

  • OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE APPLICABLE SUBSCRIPTION OR CREDITS DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

8.3 No Liability for Disruptions

  • We are not responsible or liable for any service interruptions or disruptions, and no refunds will be issued for any such occurrences.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Wazper, its affiliates, and their respective officers, directors, employees, and agents from any and all third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of any of these Terms; or (c) any infringement by you of any intellectual property or other right of any person or entity.

10. DISPUTE RESOLUTION AND GOVERNING LAW

10.1 Governing Law

  • These Terms and any dispute arising out of or related to these Terms shall be governed by the laws of France.

10.2 Arbitration

  • All disputes shall be resolved exclusively through binding arbitration, rather than in court. Each party shall bear its own costs of arbitration.

11. TERMINATION AND ACCOUNT DELETION

11.1 Termination by Us

  • We may suspend or terminate your account for any reason, including misuse or non-compliance.

11.2 Termination by You

  • You may delete your account at any time. Upon request, all your data will be permanently deleted unless we are required to retain it for legal or compliance reasons.

11.3 Effect of Termination

  • Upon termination, you remain bound by Sections 5, 7, 8, 9, and 10 of these Terms, to the extent applicable.

12. MODIFICATIONS TO THE SERVICE AND TERMS

12.1 Right to Modify

  • We may, at our discretion, modify or discontinue the Service or any part of it without notice.

12.2 Amendments to Terms

  • We reserve the right to update or modify these Terms at any time. Your continued use of the Service after any changes indicates your acceptance of the modified Terms.

13. MISCELLANEOUS

13.1 No Age Restrictions

  • There are no specific age restrictions for using the Service.

13.2 Severability

  • If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Entire Agreement

  • These Terms, together with our Privacy Policy, represent the entire agreement between you and Wazper regarding the Service.

13.4 Force Majeure

  • We shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control.

14. COOKIES

14.1 No Use of Cookies

  • We do not use cookies on Wazper to collect or store your information. Our platform does not deploy any first-party cookies or tracking technologies on your browser.
